Welcome to SunGuard Security. These Terms & Conditions ("Terms") govern your use of this website and the services we provide. By accessing and using our website or engaging our security services, you agree to be bound by these Terms.
1. ABOUT US
We are a licensed private security service provider offering trained security personnel, risk assessment, and related services for residential, corporate, industrial, and event security needs. SunGuard Security is registered in Kolkata, West Bengal, and operates across India in compliance with all applicable laws and regulations.
2. DEFINITIONS
Throughout these Terms, the following definitions apply:
- "Client" – Any individual, organization, or entity that engages our security services or visits our website.
- "Services" – The security manpower, consultation, risk assessment, and related services provided by SunGuard Security.
- "Personnel" – Trained security staff, guards, supervisors, bouncers, and other professionals deployed by us at the Client's premises or events.
- "Agreement" – The specific service contract or work order executed between SunGuard Security and the Client for a particular assignment.
- "Website" – The SunGuard Security website and all its associated pages and content.
3. SCOPE OF SERVICES
Our services include but are not limited to:
- Deployment of qualified security personnel including armed guards, unarmed guards, female bouncers, personal bodyguards, and event security teams.
- Security consulting, risk assessment, and security audits.
- CCTV monitoring and electronic security integration (where specified in the agreement).
- Emergency response planning and crowd management.
The specific scope of work, deployment schedule, duties, and duration will be clearly defined in a separate Service Agreement or work order provided to the Client before commencement of services. In case of any conflict between these Terms and a specific Service Agreement, the Service Agreement shall prevail.
4. CLIENT OBLIGATIONS
The Client agrees to:
- Provide Accurate Information: Furnish complete and accurate details regarding premises, risks, and requirements to enable proper deployment.
- Safe Work Environment: Ensure that the deployment location is safe, lawful, and compliant with all health and safety standards. Provide adequate facilities (drinking water, rest areas, etc.) for our personnel as required by law.
- Timely Payments: Pay all service fees as outlined in the invoice or agreement. Failure to pay may result in suspension or termination of services.
- Cooperation: Cooperate with our personnel and provide necessary access and information to enable effective security coverage.
- Compliance with Laws: The Client must comply with all applicable laws, including labour laws, safety regulations, and any licensing requirements related to the premises or event.
5. PAYMENTS & FEES
All fees for services will be outlined in a written agreement or invoice provided to the Client. Payments are due as per the terms specified in that agreement (typically monthly in advance or as otherwise agreed).
- Invoices are payable within [7/15/30] days of receipt unless otherwise stated.
- Late payments may incur interest at 2% per month or the maximum allowed by law.
- We reserve the right to suspend services immediately if payment is overdue by more than 15 days.
- All fees are exclusive of applicable taxes (GST, etc.), which will be added as per prevailing rates.
6. DEPLOYMENT & CONDUCT OF PERSONNEL
- Selection & Training: All personnel are selected, trained, and vetted in accordance with applicable labour laws and industry security standards. Background verification is conducted to the extent permitted by law.
- Client Instructions: While on duty, all personnel must comply with reasonable and lawful instructions from the Client, provided such instructions do not violate any law or endanger the personnel.
- Employer Responsibility: SunGuard Security retains full responsibility for employment, wages, statutory compliance (PF, ESI, etc.), insurance, and conduct of its personnel. The Client is not the employer of our personnel.
- Substitution: We reserve the right to substitute personnel with equally qualified staff in case of leave, illness, or other contingencies.
- Uniform & Equipment: Personnel will be in proper uniform and equipped as per the assignment requirements.
7. LIMITATION OF LIABILITY
SunGuard Security will exercise reasonable care and skill in providing services. However:
- We are not responsible for losses, damages, or incidents beyond our reasonable control (including but not limited to acts of God, terrorism, civil unrest, or criminal acts that could not reasonably be prevented).
- We do not guarantee prevention of all security incidents. Security services reduce risk but cannot eliminate it entirely.
- Our total liability, whether in contract, tort (including negligence), or otherwise, shall be limited to the total value of fees paid by the Client for the specific services during the three months preceding the incident giving rise to the claim.
- We shall not be liable for any indirect, consequential, or punitive damages, including loss of profits, business interruption, or reputational harm.
This limitation does not apply to liability for death or personal injury caused by our negligence or fraud.
8. INDEMNIFICATION
The Client agrees to indemnify and hold SunGuard Security harmless from any claims, damages, losses, or expenses (including legal fees) arising out of:
- The Client's breach of these Terms or any Service Agreement.
- The Client's negligence or willful misconduct.
- Any false or misleading information provided by the Client.
- Any claims by third parties arising from the Client's premises or events.
9. INTELLECTUAL PROPERTY
All content on this website, including text, graphics, logos, images, videos, and software, is owned by or licensed to SunGuard Security and is protected by Indian and international copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content without our prior written consent.
10. PRIVACY
Your use of the website is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our website, you consent to the practices described in the Privacy Policy.
11. THIRD-PARTY LINKS
Our website may contain links to third-party websites or services that are not owned or controlled by SunGuard Security. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You access such links at your own risk.
12. TERMINATION
By SunGuard Security: We may suspend or terminate services or access to the website immediately if:
- The Client breaches these Terms or any Service Agreement.
- Payment is not received when due.
- Required by law or regulatory authority.
- We reasonably believe continued services pose a risk to our personnel or reputation.
By Client: The Client may terminate services by providing written notice as per the cancellation terms in the Service Agreement. In the absence of specific terms, 30 days' written notice is required.
Upon termination, the Client must pay all fees due up to the date of termination. Any provisions that by their nature should survive termination (including limitation of liability, indemnification, and intellectual property) shall survive.
13. FORCE MAJEURE
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, fire, flood, pandemic, strikes, government actions, or power outages. Performance shall be suspended for the duration of such event, and we will make reasonable efforts to resume services promptly.
14. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal. The parties hereby submit to the personal jurisdiction of such courts.
15. DISPUTE RESOLUTION
In the event of any dispute, the parties shall first attempt to resolve it through good-faith negotiations. If the dispute cannot be resolved within 30 days, either party may refer the matter to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Kolkata by a sole arbitrator appointed by mutual agreement. The arbitration award shall be final and binding on both parties.
16. SEVERABILITY
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. WAIVER
No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right. Any waiver must be in writing and signed by the waiving party.
18. ENTIRE AGREEMENT
These Terms, together with any Service Agreement, Invoice, and our Privacy Policy, constitute the entire agreement between you and SunGuard Security regarding your use of our website and services, superseding any prior agreements or understandings.
19. CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes in our practices, legal requirements, or industry standards. Updated versions will be posted on our website with a revised "Effective Date" at the top of this page. Your continued use of our website or services after such changes constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.
